1. General information :

1.1 These general terms and conditions govern online sales concluded via the website www.roxils.com (hereinafter referred to as “the Website”) between ROXILS, whose registered office is Rue Renory 38, 4031 Angleur (Liège) registered under number BCE 0896.755.397 (hereinafter referred to as “ROXILS”) and its private customers (“The Consumer”).

1.2 Online sales concluded via the Website are governed exclusively by the present terms and conditions. These are available on the website [insert link]. They take precedence over all other terms and conditions of purchase or sale.

1.3 ROXILS can be contacted regarding the performance of this contract by the following means and contact details: – Telephone: +32 (0) 493 70 98 68 – E-mail: info@roxils.com

2. Contract formation :

2.1 The contract is formed by the receipt by ROXILS of an order issued and validated by the consumer at the end of the ordering process made available by the Website, provided that the order has been confirmed by ROXILS to the consumer by sending an order confirmation by email to the email address provided by the consumer during the ordering process. The ordering process includes the following technical steps: Registration on the website, confirmation of the basket, choice of delivery and payment method, order confirmation and payment.

2.2 ROXILS shall be entitled, insofar as necessary, to suspend performance of the contract until full payment of the order has been received by the consumer.

2.3 ROXILS reserves the right to cancel an order if the products which are the subject of it are no longer available or for other serious and legitimate reasons which will be indicated to the consumer. In this case, ROXILS will take the initiative to inform the consumer at the coordinates provided at the time of the order and refund to the consumer all sums paid.

2.4 The essential characteristics of the products which are the subject of the order are described on the Website at the time of the order. However, the photographs are only indicative, and the products actually delivered may differ slightly from the description given on the Website or from the foreseeable use for which the consumer intended. Finally, the consumer acknowledges that ROXILS cannot be held responsible in the event of non-conformity of the products ordered to an abnormal or unforeseeable use for which the consumer intended them.

3. Order processing and dispatch

3.1 ROXILS undertakes to deliver the products ordered within a maximum of eight days, provided that ROXILS has received payment for the order. If, due to the state of stocks, the ordered products cannot be delivered within this period, ROXILS will contact the consumer; the parties will agree on another reasonable delivery period. The products ordered will be delivered to the delivery address agreed with the customer at the time of ordering, i.e. by post to the address specified by the customer.

3.2 If ROXILS has not delivered the order within the time limits referred to in the previous paragraph, the consumer has the right to notify ROXILS that he cancels his order. In the event of a valid cancellation by the consumer, ROXILS will reimburse the consumer for all sums paid by the consumer in payment for the cancelled order, no later than thirty days after receipt of the cancellation notification.

3.3 ROXILS shall not bear the risks associated with the delivery of ordered products to private individuals once the products have left the ROXILS warehouse (FOB Angleur). The consumer is responsible for checking that the order is complete. No complaint from the consumer in this respect will be accepted if it is not reported within 24 hours of delivery.

4. Right of withdrawal

4.0 This Article 4 applies solely to purchases made by a consumer—that is, any natural person who purchases ROXILS products for purposes outside the scope of their commercial, industrial, craft, or professional activity. It does not apply to purchases made by a buyer acting in a professional capacity—see Article 4.6.

4.1 The consumer has the right to notify ROXILS that they are withdrawing from the purchase, without penalty and without giving a reason, within 14 calendar days starting from the day following the delivery of the ordered products.

4.2 By way of exception, the consumer does not have the right to withdraw from the purchase if the order concerns:

  • goods made to specifications or clearly personalized according to the consumer’s instructions;
  • sealed products that have been unsealed by the consumer after delivery and cannot be returned for reasons of hygiene or health protection;
  • products which, by their nature, are inseparably mixed with other items after delivery, or are liable to deteriorate or expire rapidly.

4.3 The consumer must communicate their wish to withdraw from the purchase in writing (using the withdrawal form, email, or any other unequivocal means), in accordance with the procedures communicated by ROXILS on the Website.

4.4 Consumers exercising their right of withdrawal agree to comply with ROXILS’ instructions regarding the return procedure for the products they are returning and to send them back within 14 calendar days of notifying ROXILS of their decision to withdraw. Consumers bear the costs and risks associated with such returns, unless the delivered products do not conform to the order, in which case ROXILS bears the return costs. ROXILS shall refund the price paid for the products in question, as well as any standard initial delivery charges, no later than 14 days after receiving the returned products or receiving proof of their shipment, whichever occurs first.

4.5 ROXILS reserves the right to reduce the refund due if the returned products show a loss in value resulting from handling by the consumer that goes beyond what is necessary to establish the nature, characteristics, and proper functioning of the products (such as breaking the seal or use not required for this purpose); in such cases, ROXILS will withhold an amount corresponding to this loss in value.

4.6 Where the buyer acts in a professional capacity—that is, for the purposes of their commercial, craft, or professional activity, particularly when a business or VAT number is provided at the time of the order, or when the purchase is explicitly identified as professional—the right of withdrawal referred to in this article does not apply: the sale is firm and final upon conclusion, subject to rights arising from any lack of conformity (Article 6).

The buyer’s status (consumer or professional) is determined based on the information provided at the time of the order. Any return or exchange offered to a professional buyer on a goodwill basis—other than in cases of non-conformity—remains subject to [to be defined: prior agreement from ROXILS, time limits, unopened product, costs borne by the buyer, etc.] and is never granted as a matter of right.

5. PRICES AND PAYMENTS

5.1 The price of the products ordered is the price displayed on the Website on the date of the order. The prices shown include VAT, as well as any delivery charges, including those relating to the preparation of the parcel.

5.2 The consumer is obliged to pay the price of the products ordered at the time the order is placed on the Website. Payments may be made by credit card or by any other electronic means of payment offered on the Website when the order is placed. ROXILS reserves the right not to accept certain electronic payment methods.

5.3 Online payment operations are carried out by the services of ROXILS’ partner, namely X. The online payment methods are integrated into the Website automatically; however, the consumer is informed that ROXILS does not intervene in any way in these online payment operations, which are exclusively under the control of ROXILS’ partner; ROXILS declines all responsibility in the event of unavailability or defect of its partner’s online payment service. ROXILS also makes available to the consumer, via the electronic payment module, a refund process, the use of which is strictly limited to the return of the purchase price in the event of the consumer exercising the right of withdrawal pursuant to and within the limits of article 4 of these general terms and conditions.

6. GUARANTEES

6.1 ROXILS guarantees that the products ordered by the consumer are suitable for normal and foreseeable use. The consumer undertakes to verify upon delivery that the entire order has been delivered; if this is not the case, the consumer undertakes to notify ROXILS within 24 hours of receipt of the order.

6.2 The guarantee of conformity for delivered products is governed by Articles 1649bis et seq. of the Civil Code, to the exclusion of any other commercial warranty. However, this does not affect any commercial warranties that may be offered to the consumer by the manufacturers of certain products.

6.3 The warranty period is two years from delivery of the product. If the lack of conformity becomes apparent more than six months after delivery of the goods, the consumer is required to prove that the defect existed at the time of delivery. The consumer must notify ROXILS of any lack of conformity immediately and no later than two months after the defect appears; failure to do so will result in the loss of the right to the conformity warranty. The burden of proving when the lack of conformity appeared lies with the consumer.

6.4 In the event of non-conformity, ROXILS will, at its option, repair or replace the non-conforming products. If replacement with an identical product is impossible or disproportionate, the defective product will be replaced with a functionally equivalent product. If both replacement and repair of defective products are impossible or impose disproportionate costs or inconvenience on ROXILS, ROXILS will have the option of reimbursing the consumer the price of the products concerned (subject to deduction of compensation for the use that the consumer has had of the good since its delivery, to the exclusion of any other compensation or compensation).

6.5 The consumer shall notify any lack of conformity and return the defective products in accordance with the instructions provided by ROXILS. ROXILS will bear the cost of returning the goods, provided that the consumer has complied with these instructions.

6.6 If it appears that the products returned by the consumer are not defective, that the alleged defects did not exist at the time of delivery, or that the alleged defects were caused by the consumer’s actions, normal wear and tear, a lack of maintenance or care, or use that is contrary to the operating instructions or otherwise inappropriate, ROXILS shall be entitled to:

  • or invite the consumer to collect their goods in their current condition. In this case, the consumer shall collect them at their own expense;
  • or offer the consumer the option to have the defective goods repaired at the consumer’s expense. In this case, ROXILS will send the consumer a repair estimate and proceed with the repair once the consumer has accepted the estimate. ROXILS may require the consumer to pay for all or part of the repair work in advance.

6.7 In addition to the statutory warranty of conformity referred to in Articles 6.1 to 6.6, ROXILS provides a 2-year commercial warranty starting from the delivery of the Product, covering the housing, power supply, electronics, and mechanical components of the Roxils UV Lamp, excluding the UV bulb (see Article 6.8). This commercial warranty supplements, rather than replaces, the statutory warranty of conformity; in the event of a lack of conformity within the meaning of Articles 6.1 to 6.6, the statutory regime takes precedence.

6.8 The UV bulb is a consumable part with a normal lifespan—disclosed to the consumer at the time of purchase—of approximately 3,000 hours of use. Bulb wear occurring after this normal period of use does not constitute a lack of conformity within the meaning of Article 6.2 and is covered neither by the statutory warranty of conformity nor by the commercial warranty referred to in Article 6.7. If the bulb fails prematurely—well before its stated lifespan—due to a manufacturing defect rather than normal use, the consumer may invoke the statutory warranty of conformity subject to the conditions set out in Articles 6.1 to 6.6; ROXILS will assess the claim on a case-by-case basis based on the information provided by the consumer.

6.9 Except in the case referred to in Article 6.8, second sentence, the replacement of the spent UV bulb, as well as the replacement of any part after the expiry of the 2-year warranty, is carried out by purchasing spare parts directly from ROXILS at the rates in effect at the time of the order.

6.10 Without prejudice to Article 6.5, and in order to facilitate the processing of requests, the consumer is invited to follow the procedure below for any return of a Product based on a lack of conformity or the additional commercial warranty referred to in Article 6.7:

  1. [email / whatsapp]After-sales service contact: contact Roxils via, describing the issue in detail and, if possible, including a photo or short video.
  2. Proof of purchase: attach a copy of the invoice or receipt showing the delivery date.
  3. Return Number (RMA) and Return Slip: After reviewing the request, Roxils will provide you with a return number (RMA) and a prepaid return slip to use for shipping the Product. No returns will be accepted without this number.
  4. Packaging and shipping: carefully pack the Product (ideally in its original packaging), include the RMA number inside the package, and ship it free of charge using the prepaid return label provided by Roxils, strictly following the instructions received (see the box below).
  5. Diagnosis: Upon receipt of the package, Roxils carries out a diagnosis of the Product within [2 business days].
  6. Solution: In accordance with Article 6.4, Roxils shall, at its discretion, repair the Product free of charge, replace it, or—if these solutions are impossible or disproportionate—provide a refund.
  7. Return of the Product: where the warranty applies, Roxils covers the cost of shipping the repaired or replaced Product to the consumer within [2 business days] of the diagnosis. If the diagnosis establishes that the defect is not covered by the warranty, the cost of the return label used in step 4 is charged to the consumer or deducted from any refund, in accordance with Article 6.6.

KEY POINT — WHO PAYS FOR THE RETURN

Roxils always provides a prepaid return label for shipping the Product to its premises; the consumer incurs no upfront shipping costs. If the return confirms a covered lack of conformity (Arts. 6.1 to 6.6) or a defect covered by the additional commercial warranty (Art. 6.7), Roxils bears the full cost of both the initial shipment and the return shipment of the repaired or replaced Product. If the Product proves not to be defective, if the issue is due to normal wear and tear (particularly regarding the light bulb), or if the defect results from misuse or lack of maintenance, the cost of the return label used is charged to the consumer or deducted from any refund, and the cost of shipping the Product back to the consumer is also borne by the consumer (Arts. 6.6 and 6.8).

If the diagnosis reveals that the Product is not defective, that the defect results from a cause referred to in Article 6.6 (normal wear and tear—including of the bulb—, misuse, or lack of maintenance), or that it is not covered by the additional commercial warranty, Roxils shall inform the consumer before taking any action and apply Article 6.6: recovery of the Product at the consumer’s expense, or repair based on a quote accepted by the consumer.

7. LIMITATION OF LIABILITY

7.1 In the event of culpable non-performance on the part of ROXILS, the liability of ROXILS shall be limited to direct and foreseeable damage, insofar as this can be proven by the consumer. ROXILS accepts no further liability. In particular, ROXILS shall in no event be liable for indirect damages such as economic and financial losses, loss of expected profits or savings, loss of customers, image, data, opportunities.

7.2 In any event, the total liability of ROXILS under this contract shall be limited to an amount equal to the amount of the consumer’s order.

8. FORCE MAJEURE

ROXILS shall not be obliged to perform its obligations in the event of force majeure, which includes for example natural disasters, acts and orders of public authorities, acts of terrorism or war, unavailability of electrical networks or telecommunication services, failure of a supplier or partner, accidents and illnesses, as well as any other event that was not reasonably foreseeable and surmountable for ROXILS. In the event of force majeure, ROXILS’ obligations shall be suspended until the disappearance of the circumstances preventing their performance. If the state of force majeure lasts for more than 30 days, either party has the right to terminate the contract by notifying the other party. Where applicable, the consumer will be reimbursed for payments made, to the exclusion of any other indemnity or compensation.
